I have heard that this is a book written by an exemplary drafter and that there are no similar books on contract drafting out there. Having read the book, I am positive that this book will bring a wealth of practical knowledge about contract drafting to those who have to draft or review contracts.

世界でも有数の規模を持つ米系弁護士事務所Skaddenの弁護士が書いた一冊。特定の法律に関する本ではなく、ローファームでの教育で使用されていたものが纏められたとある。筆者は弁護士ではないため、内容のレベル感は分からないが、普段から外国法務に接するものとしてありがたい一冊。ドラフトの修正の仕方から始まり、まさに研修のようだ。日々の業務で考えるためのマインドセットをされた気分。また、「reasonability」をはじめ、よく使用される概念などが各プロセスの注意事項として記載され、内容も網羅的であるため、知識の習得にも役立つ。本書は翻訳も出ているが、結局本書を買うことになった。社内で説明するためには、対応する日本語を知る必要があるが、たまに翻訳に惑わされ、戸惑うことがあったためである。英語のレベルとしては平易であり、非常に読みやすい。おススメの一冊。
